1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of thesmbsolution.com (the “Site”), any content, tools, or services we provide through the Site, and any SMS text messages you receive from us (collectively, the “Services”). By accessing the Site, contacting us, booking a call, opting in to SMS, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

The Services are provided by SMB Solution Group LLC, a Florida limited liability company doing business as The SMB Solution. We provide business coaching, diagnostics, and related advisory services for small and mid-sized business owners.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

4. Services and No Guarantees

Our content, diagnostics, and coaching are provided for general business and educational purposes. We do not guarantee any specific business outcome, revenue, profit, or other result. You are solely responsible for the decisions you make in your business and for consulting your own legal, tax, accounting, and other professional advisors. Nothing on the Site is legal, tax, accounting, medical, or investment advice.

5. Booking, Payment, and Cancellation

If you book a paid engagement with us, the specific fees, deliverables, and cancellation terms will be described in a separate written agreement or booking confirmation. Free strategy calls are offered at our discretion and may be rescheduled or declined.

6. Acceptable Use

You agree not to:

  • Use the Services in any way that violates applicable law or regulation, including anti-spam, telemarketing, and consumer-protection laws.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Site, our servers, or any related systems.
  • Reproduce, distribute, or create derivative works from Site content without our written permission, except for personal, non-commercial use.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Services to send unsolicited messages, phishing, or malware.

7. SMS / Text Messaging Terms

These SMS terms are part of these Terms and are in addition to the SMS section of our Privacy Policy.

  • Opt-in. By providing your mobile phone number through a website form, verbally, or through another documented opt-in method, you expressly consent to receive text messages from The SMB Solution at that number, including messages sent using automated technology.
  • Message purpose. Messages relate to your inquiry, appointments, coaching engagement, follow-ups, and occasional service updates.
  • Message frequency. Message frequency varies based on your interaction with us.
  • Message and data rates. Message and data rates may apply. Check with your mobile carrier for details.
  • STOP / Opt-out. Reply STOP to any message at any time to cancel. After you reply STOP, we will send a single confirmation and will not send you further SMS messages unless you opt in again.
  • HELP. Reply HELP to any message for assistance, or contact us at info@thesmbsolution.com or (561) 250-8585.
  • Carriers. Carriers are not liable for delayed or undelivered messages.
  • No sharing for marketing. Mobile phone numbers and SMS consent are not shared, sold, or transferred to any third party or affiliate for their marketing purposes. See our Privacy Policy for details.
  • Consent not required for purchase. Opting in to SMS is not a condition of purchasing any of our services.

8. Intellectual Property

The Site and its content — including text, graphics, logos, the P7 Performance Framework, and other materials — are owned by SMB Solution Group LLC or its licensors and are protected by intellectual property laws. Except for the limited right to view and use the Site for personal, non-commercial purposes, no license is granted to you.

9. Third-Party Links and Services

The Site may contain links to, or integrate with, third-party websites and services. We are not responsible for the content, policies, or practices of those third parties. Your use of any third-party service is governed by that party's terms.

10. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE INFORMATION WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SMB SOLUTION GROUP LLC, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID US ANYTHING.

12. Indemnification

You agree to indemnify, defend, and hold harmless SMB Solution Group LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction there.

14. Changes to the Terms or Services

We may update these Terms or change the Services at any time. If we make material changes to the Terms, we will update the “Effective Date” above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
